Annual evaluation | Fewer annual objectives achieved for the leaders of Couche-Tard

(Montreal) The main layer-tard food leaders did less good in their annual assessment than last year, according to regulatory documents sent to shareholders.




On average, the main leaders of the Lavalloise company reached 67.33 % of their annual objectives during the 2025 closed year on April 27, can be read in its management circular. This is compared with a 92.57 % note during the previous year.

Couche-Tard does not reveal the nature of the individual objectives of managers to its shareholders for “reasons of competition”.

With regard to the profitability target, the net profit of 2.6 billion US represented only 85.59 % of the target set by the company, an insufficient threshold to obtain the annual bonus linked to financial targets.

In the document, Couche-Tard stresses that she faced the contrary winds during the financial year due to the unfavorable economic conditions which had an impact on traffic and the request for fuel.

She claims to have delivered a good performance on the elements she controls. “Management continued to strongly emphasize the rigor in terms of costs and to ensure the execution of the various internal and external initiatives that are part of its multi-year strategic plan”, can be read in the document.

Exercise 2025 was marked by a change of guard at the head of the company. The president and chief executive officer, Brian Hannasch, left office in September. He was replaced by the chief of the farm, Alex Miller.

Mr. Hannasch reached 55 % of his individual objectives set by the board of directors during the 2025 financial year. His successor, Alex Miller, succeeded 56 % of his objectives within the framework of his two functions.

In comparison, Mr. Hannasch had reached 89.6 % of his objectives the previous year. This rate was 83.8 % for Mr. Miller, who was then chief of the farm.

The founder and executive president of the Council, Alain Bouchard, maintained a note of 90 %. The finance chief, Filipe Da Silva, saw his own from 95 % to 83 %.

The first vice-president of operations in North America and global commercial optimization, Louise Warner, has reached 46 % of its objectives. The head of technological management, Edo Dzadovsky, reached 74.0 %. The comparison with last year was not available for these two managers.

Millions in remuneration

This evaluation has an effect on the annual premium of the main leaders, but it only has 3 % of total remuneration in 2025.

Couche-Tard granted 36.07 million to its six highest leaders in 2025.

Almost two thirds of remuneration are linked to a longer -term profit -sharing scheme, in the form of delayed action units and purchase options.

Although declared in 2025, this risk remuneration will only be paid later if certain objectives are achieved.

Mr. Miller obtained a total remuneration of 9.50 million in 2025. This remuneration is granted to the proportion of time spent in each of his functions during the exercise.

His predecessor, Mr. Hannasch, had a remuneration of 12.5 million.

Mr. Bouchard affected a remuneration of 7.55 million, down 1.61 % compared to last year.

The remuneration of administrators

The circular also reveals the remuneration of administrators, many of which are well known in the business community. The Council has the former Prime Minister, Stephen Harper, the former boss of the National Bank, Louis Vachon, and the former CEO of the Desjardins movement, Monique Leroux.

The three administrators participated in the five annual meetings of the board of directors, according to the presence rate.

Mr. Harper obtained a remuneration of $ 230,000 as administrator. The emoluments of M. Vachon and Mme Leroux are $ 280,000 and $ 243,000, respectively.
